The MLNC Board guides strategic development by determining overall
trends, shared values, purpose, future directions, and desired outcomes.
Implementation of strategies and tactics is accomplished by the MLNC
Executive Director and management team. The Board and the Executive
Director work together to ensure continued good stewardship of the MLNC
organization.



Deliberations and
Communication
Interaction among board members and between board members and the
MLNC Executive Director and management team is based on the following
principles:
- Collegiality—including but not limited to analyzing and
discussing issues objectively; addressing the entire board in a
courteous manner; supporting different points of view; agreeing to
disagree when appropriate; asking relevant questions.
- Commitment—attending meetings regularly and preparing thoroughly in
advance.
- Confidentiality—maintaining strict confidentiality on all board
deliberations unless and/or until items are made public.
- Communication—maintaining two-way, appropriate, and effective
communication among the Board and between the Board and Executive
Director.
- Transparency—preparing and sharing information and/or detailed
reports on issues under discussion.
- Stewardship—making financial decisions with integrity for the
benefit of MLNC, not just for individual institutions.



Membership
- Because the board’s primary role is to guide strategic development
at a high level, membership is limited to library directors and deans.
- To ensure that the board benefits from new ideas and energy and to
ensure effective board succession, service is limited to three
successive terms, with at least two years before re-election.
- Members should have the integrity and foresight to balance
competing interests and to avoid conflicts between those interests.
- New members are provided with board orientation, and ongoing
training is available as needed.
- New officers are provided with a learning track as appropriate to
the office.
- The officers of the Board reserve the right to counsel or remove
board members for non-compliance with the principles.
